1. Acceptance of Terms
By accessing and using the Conversophy mobile application ("the App"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the App.
2. Description of Service
Conversophy is a conversational analysis tool that helps users:
- Record audio conversations
- Transcribe conversations using AI-powered speech recognition
- Analyse conversation dynamics and patterns
- Receive AI-driven insights for communication improvement
3. User Responsibilities
3.1 Recording Consent
YOU are solely responsible for obtaining proper consent before recording any conversation. Depending on your jurisdiction:
- One-party consent: You may record conversations you are part of
- Two-party consent: You MUST obtain consent from all participants
- International laws: Additional restrictions may apply when recording across borders
Failure to obtain proper consent may result in:
- Civil liability
- Criminal penalties
- Violation of local wiretapping laws
Conversophy provides the technology but does NOT grant you legal authority to record others without consent.
3.2 Appropriate Use
You agree to use the App only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Record conversations without proper consent
- Use the App to violate any local, state, national, or international law
- Record conversations in prohibited locations (e.g., courtrooms, government facilities)
- Use the App to harass, abuse, or harm others
- Share recordings of others without their permission
- Use the App to collect sensitive personal information without authorisation
- Use Conversophy analysis outputs (including but not limited to communication trait analysis, development plans, guidance reports, or any AI-generated insights) as a basis for, or material input to, employment decisions — including hiring, firing, promotion, demotion, task allocation, performance evaluation, disciplinary action, or any other decision affecting terms of work-related contractual relationships
- Use Conversophy analysis outputs as a basis for, or material input to, educational assessment decisions — including grading, academic placement, student evaluation, access to educational programmes, learning outcome assessment, or any determination affecting a student's educational progression
- Deploy or integrate Conversophy within any institutional decision-making workflow — including HR information systems, applicant tracking systems, learning management systems, performance management platforms, or any system that uses Conversophy outputs to make or inform consequential decisions about individuals
- Use Conversophy to monitor or evaluate the performance and behaviour of employees, workers, students, or any other individuals in an institutional capacity
- Use Conversophy to assess the creditworthiness of any individual, to evaluate eligibility for public services or benefits, or for any law enforcement, judicial, or border control purpose
3.3 AI Analysis Limitations
Conversophy's AI-generated analysis is designed for personal communication reflection and development. The analysis provides interpretive insights about communication patterns in a specific conversation. It is not designed, validated, or suitable for:
- Making or informing employment, recruitment, or HR decisions
- Making or informing educational assessment, grading, or placement decisions
- Diagnosing psychological, psychiatric, or medical conditions
- Providing legal advice or determining legal liability
- Making or informing any decision that produces legal effects or similarly significant effects on a natural person
If you require a tool for any of these purposes, you must use a system specifically designed, validated, and authorised for that purpose.
3.4 Content Responsibility
You retain ownership of all recordings, transcripts, and data you create through the App. You are solely responsible for:
- The accuracy of your recordings
- The content of your conversations
- Any consequences arising from your use of the App
- Maintaining the confidentiality of sensitive conversations
4. Data Processing
4.1 Third-Party Processors
To provide our services, we use the following third-party processors:
- Amazon Web Services (AWS): European servers (eu-west-1, Ireland) for application hosting, data storage, and infrastructure services
- Neon (PostgreSQL): European servers for secure database storage of sessions, transcripts, and analysis data
- AssemblyAI: European servers (Dublin, Ireland) for speech-to-text transcription and speaker diarization
- Amazon Bedrock (Anthropic Claude): EU servers (eu-west-1, Ireland) — zero data retention, no model training
Core processing is hosted in the EU (Ireland). By using these features, you consent to your audio and transcript data being processed by these services as described in our Privacy Policy.
4.2 Data Retention
You can configure how long we retain your data:
- Default retention: 90 days
- Options: 30 days, 60 days, 90 days, 1 year, or permanent retention
- You can export or delete your data at any time
5. Account and Security
5.1 Your Account
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
5.2 Account Termination and Deactivation
We reserve the right to suspend or terminate your account if:
- You violate these Terms and Conditions
- You use the App for illegal or unauthorized purposes
- Your account remains inactive for an extended period
- Required by law or regulation
If you decline updated Terms and Conditions or Privacy Policy (see Section 9.2), your account will be deactivated after a 30-day grace period. A deactivated account is not deleted — your data is preserved and you retain the right to export or delete it. You may reactivate your account at any time by accepting the current terms.
You may delete your account at any time through the App settings or during the deactivation grace period via the in-app option.
6. Intellectual Property
6.1 Trademarks
"Conversophy", the Conversophy name and logo, and any related names, logos, product and service names, designs, and slogans are trademarks of Thrive-in Collaboration SRL (or its licensors). You must not use such marks without our prior written permission.
6.2 Ownership & License
The App, including its software, features, content, and design (excluding user content), is owned by Thrive-in Collaboration SRL and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal or internal business use.
6.3 User Content
You retain ownership of content you submit to the App ("User Content"). You grant Thrive-in Collaboration SRL a limited license to host, store, process, and display your User Content solely to operate, maintain, and improve the App and provide the services to you.
7. Disclaimers and Limitations
7.1 Service Availability
The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not guarantee:
- Uninterrupted or error-free service
- Accuracy of transcriptions or analyses
- Availability of features at all times
- Compatibility with all devices
7.2 AI-Generated Content
Conversation analysis and insights are generated by AI and may contain:
- Inaccuracies or misinterpretations
- Subjective opinions not reflective of reality
- Errors in understanding context or intent
Analysis results should be used as guidance only, not as absolute truth.
7.3 Legal and Professional Advice
The App does NOT provide:
- Legal advice regarding recording laws
- Professional counseling or therapy
- Medical or mental health services
- Relationship advice from licensed professionals
Always consult qualified professionals for legal, medical, or professional guidance.
7.4 Limitation of Liability
To the maximum extent permitted by law, Conversophy shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, or goodwill
- Service interruptions or data loss
- Damages arising from your illegal recording activities
- Third-party claims arising from your use of the App
Maximum liability: Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim (if any).
8. Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy explains:
- What data we collect
- How we use and protect your data
- Your rights under GDPR and other privacy laws
- How to exercise your data rights
The Privacy Policy is incorporated into these Terms by reference. Material changes to the Privacy Policy will be communicated as described in the Privacy Policy (e.g. in-app notice, email for material changes).
9. Changes to Terms
We may update these Terms and Conditions and/or our Privacy Policy from time to time. We will notify you of material changes by:
- In-app notification requiring your explicit re-acceptance
- Email notification (if applicable)
9.1 Re-Acceptance of Updated Terms
When we make material changes to these Terms or the Privacy Policy, you will be asked to review and explicitly accept the updated terms before you can continue using the App. You will not be able to access App features until you have accepted the updated terms.
9.2 Declining Updated Terms
If you do not wish to accept the updated terms, you may choose to decline. If you decline:
- Grace Period: Your account will enter a 30-day grace period during which you may export your data or change your mind and accept the updated terms.
- Restricted Access: During the grace period, your access to the App is restricted to data export and account management functions only. You will not be able to use core App features (recording, transcription, analysis).
- Account Deactivation: After the 30-day grace period, your account will be fully deactivated. You will retain the ability to export your data or delete your account, but all other access will be blocked.
- No Automatic Deletion: We will not automatically delete your account or data. You may request deletion at any time via the in-app "Delete my account" option or by contacting us at privacy@conversophy.com.
- Re-Acceptance: At any point before or after the grace period, you may choose to accept the updated terms to restore full access to your account and the App.
9.3 Version Tracking
Each version of these Terms and the Privacy Policy is identified by a version number and date. The version you accepted is recorded in your account for audit and compliance purposes.
10. Geographic Restrictions
10.1 Recording Laws
Recording laws vary significantly by jurisdiction:
- United States: State-by-state variations (one-party vs. two-party consent)
- European Union: Generally requires all-party consent
- Other countries: May prohibit recording entirely in certain contexts
You are responsible for knowing and complying with recording laws in your location.
10.2 Service Availability
The App may not be available in all countries or jurisdictions. We reserve the right to restrict access in certain regions.
11. Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.
11.2 Informal Resolution
Before filing a formal claim, please contact us at support@conversophy.com to resolve disputes informally.
11.3 Jurisdiction
Any disputes not resolved informally shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania, except where prohibited by law.
11.4 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class action lawsuits, except where such waivers are prohibited by law.
12. Miscellaneous
12.1 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
12.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Conversophy regarding the App.
12.3 No Waiver
Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
12.4 Assignment
You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.
